Terms of Business

1. Definitions

In these terms of business the following words have the meanings set out below:

• Business Day means any day that is not a Saturday, Sunday or public/bank holiday in England.
• Candidate means any individual introduced by us to a Client to be considered for an Engagement.
• Client means any person, firm or company who approaches us to engage a Candidate, or to whom a Candidate is introduced.
• Engagement means the engagement, employment, hire or other use of a Candidate by a Client on any basis, whether directly or indirectly.
• Introduction means (i) an interview of a Candidate by a Client, or (ii) the passing of information about a Candidate to a Client where that Candidate is subsequently Engaged.
• Solomon Richards Ltd / Coded Staffing means Solomon Richards Ltd trading as Coded Staffing.

2. Candidate suitability and references

We will take reasonable steps to confirm a Candidate’s identity, experience, training, qualifications and willingness to accept an Engagement. We will also make reasonable enquiries to ensure that an Engagement would not be detrimental to the interests of either the Candidate or the Client.

The Client must provide us with full details of the position to be filled, including the type of work, location, hours, required experience, qualifications, start date, expected duration and any health or safety risks. The Client remains solely responsible for deciding whether to engage a Candidate and for taking up references before doing so.

Where a Candidate needs specific qualifications or authorisations to work in a role, we will take reasonable steps to confirm those qualifications and provide copies if requested. If we cannot do this, we will tell the Client what steps we have taken.

3. Fees and payment

Placement fees, payment terms and any rebate arrangements are agreed in writing between Coded Staffing and the Client by email before any Introduction is made. Fees are specific to each client and role and are subject to negotiation.

Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date. Late payment may result in interest and recovery costs being added in accordance with applicable law.

4. Advertising and other charges

Where we provide an agreed advertising service to a Client, all research, design and production charges are payable by the Client. If a Client cancels an advertisement, we will endeavour to avoid cancellation charges, but the Client remains responsible for any costs already incurred.

Where we agree to assist with work permits, professional registrations or similar arrangements for a Candidate, any charges incurred are payable by the Client within 30 days of invoice.

5. Limitation of liability

We are not liable for any loss, injury, damage, expense or delay incurred by a Client arising directly or indirectly from an Introduction or Engagement, including but not limited to:

• Failure of a Candidate to meet the Client’s requirements;
• Any act, omission or misconduct of a Candidate;
• Any loss, injury, damage or expense suffered by a Candidate.

Nothing in these terms limits our liability for death or personal injury caused by negligence, or for any liability that cannot be excluded by law.

The Client agrees to indemnify us against any liability we may have to a Candidate.

6. General

• References to the singular include the plural and vice versa.
• Headings are for convenience only and do not affect interpretation.
• These terms are accepted by a Client by virtue of requesting, receiving or acting on an Introduction.
• No variation is valid unless agreed in writing and signed by a director of Solomon Richards Ltd.
• These terms supersede any previous terms and prevail over any other terms put forward by a Client.
• If any provision is invalid or unenforceable, the remainder continues to apply.

7. Governing law

These terms of business are governed by the law of England and Wales and are subject to the exclusive jurisdiction of the courts of England and Wales.
